GENERAL TERMS AND CONDITIONS OF USE OF THE “URCLYRD” APPLICATION AND PODESUBIR INC. PLATFORM

These General Terms and Conditions of Use (“Terms”) reflect how Podesubir Inc. Inc conducts its business (including the brand Urclyrd ) and the laws applicable to its operations within the United States. Accordingly, these Terms define the legal relationship between Podesubir Inc. Urclyrd and you, to the extent of your interaction with our services.

Understanding these Terms is important because, in order to use our services, you must agree to them. In addition to these Terms, we also publish a Privacy Policy. Although the Privacy Policy does not form part of these Terms, we strongly encourage you to review it to better understand how you may access, manage, update, and delete your personal information.

Hereinafter referred to as “Podesubir Inc,””Urclyrd”,  “Application Publisher,” “we,” “us,” or “our,” through the Urclyrd application and technological platform.

Urclyrd is a brand name used for Podesubir Inc. for the application due to commercial purposes. We can name it Urclyrd application or Podesubir Inc’s application

1.- PURPOSE OF THE SERVICES

The Urclyrd application and platform provide access control management services, including but not limited to digital access authorization, visitor management, scheduling, and related operational tools for residential, commercial, and mixed-use properties.

2.- AGE REQUIREMENTS

The Urclyrd services are intended for users who are at least 16 years of age. If you are under 18 years of age, you may use the application only with the consent and supervision of a parent or legal guardian.

If you are a parent or legal guardian and you authorize a minor to use the services, these Terms apply to you, and you are responsible for the minor’s activities on the platform.

Age restrictions may vary depending on applicable U.S. federal or state laws. If you access the application from outside the United States, additional or different age requirements or terms and conditions may apply.

3.- ACCEPTANCE OF THE TERMS

These Terms are legally binding and govern the relationship between you and Podesubir Inc. You may only use the services if you agree to comply with these Terms. If you do not agree with any provision herein, you must immediately discontinue use of the services and uninstall the application from your device.

All individuals who wish to access the services offered through the Urclyrd application must first review and become familiar with the rules set forth in this instrument, which will be made readily and openly available for consultation through a direct link within the application itself and on the Podesubir Inc. The Terms will be made readily available within the application and on Podesubir Inc.’s website for review at any time.

By accessing or using the Urclyrd application, or the Podesubir Inc. Inc web site, you acknowledge that you have read, understood, and agreed to be bound by these Terms. You are responsible for reviewing any updates or modifications prior to continued use.

While Podesubir Inc. Inc grants you a limited, revocable, non-exclusive license to use the services, all intellectual property rights related to the platform remain the exclusive property of Podesubir Inc.

We may notify you of changes to these Terms via email, in-app notifications, or other reasonable means.

4. ACCESS AND AVAILABILITY

Podesubir Inc. Inc uses commercially reasonable efforts to provide access to the services 24 hours a day, 7 days a week. However, we reserve the right to interrupt, suspend, or limit access to all or part of the application at any time for maintenance, updates, security reasons, or operational improvements.

These Terms apply to all current and future versions, integrations, extensions, and social media presences of the Podesubir Inc. and Urclyrd platform.

5. APPLICATION MANAGEMENT

We continuously develop new features and technologies to improve our services. As part of this process, we may add, modify, or remove features or functionalities.

If changes materially affect your use of the services, or if a service is discontinued, we will provide advance notice when reasonably possible, except in urgent situations such as legal compliance, security risks, or prevention of abuse.

Podesubir Inc. reserves the right, at any time, to:

Suspend, restrict, or terminate access to the application for specific users or categories of users; Remove content that disrupts platform functionality or violates applicable laws; Temporarily suspend the application to perform updates or improvements.

6. USER REGISTRATION AND ACCOUNTS

The services are available only to individuals who have the legal capacity to enter into binding contracts under applicable U.S. law. Minors or individuals lacking legal capacity must be represented by a legal guardian.

Each user may maintain only one account. Duplicate accounts may be suspended or terminated.

You agree to provide accurate, complete, and up-to-date information during registration. You are solely responsible for the accuracy and legality of the information provided. Podesubir Inc. may verify information and take appropriate action, including suspension or termination, in the event of false or misleading data.

You must provide a valid email address and a personal mobile phone number. Communications sent to your registered email address will be deemed received.

You are responsible for maintaining the confidentiality of your login credentials. Any activity conducted through your account is your responsibility. You must notify Podesubir Inc. immediately of any unauthorized or suspicious activity.

Accounts are personal and non-transferable. Selling, renting, or transferring accounts is prohibited.

Podesubir Inc. may terminate accounts that violate these Terms. Users may request account cancellation at any time, subject to legal retention requirements.

7. RESPONSIBILITIES AND DISCLAIMERS

Podesubir Inc. is responsible for defects directly attributable to the services it provides. We are not responsible for issues arising from user devices, operating systems, or internet connectivity.

Users are solely responsible for content they submit or actions they take through the platform.

You agree to use the services lawfully, respectfully, and in compliance with all applicable laws.

Podesubir Inc. is not responsible for:

Internet reliability or third-party network services; Unlawful activities conducted by users; Third-party service providers; User hardware, software, or configurations.

If you use the services on behalf of another individual or entity, you represent that you are authorized to do so and that such party agrees to these Terms.

8. EXTERNAL LINKS

The application may contain links to third-party websites or services. Podesubir Inc. does not control and is not responsible for third-party content, policies, or practices.

9. INTELLECTUAL PROPERTY

All elements of the Podesubir Inc. platform, including software, text, graphics, images, audio, and video, are owned by or licensed to Podesubir Inc. and are protected by U.S. and international intellectual property laws.

Unauthorized use, reproduction, or distribution is prohibited.

9.1 CONTENT LICENSE

You retain ownership of your content. By submitting content, you grant Podesubir Inc. a worldwide, non-exclusive, royalty-free license to host, use, reproduce, modify, distribute, and display such content solely for the purposes of operating, improving, and promoting the services.

This license does not affect your privacy rights.

11. SANCTIONS

12. MODIFICATIONS

These Terms were last updated on January 5, 2026. Podesubir Inc. reserves the right to modify these Terms at any time. Material changes will be communicated to users.

Continued use of the services after modifications constitutes acceptance of the revised Terms.

13. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the state or federal courts located within the State of Florida.

Access should always be as simple and welcoming as entering a neighborhood café or public square.
